Terms of Use for D1 Arena

IMPORTANT: SKILL-BASED ESPORTS COMPETITION PLATFORM

D1 Arena is exclusively a skill-based competition platform. All tournaments are bona fide contests for the determination of skill as defined under Texas Penal Code §47.01. This is NOT gambling—outcomes are determined solely by player skill, not chance.

1. Acceptance of Terms

By accessing D1 Arena ("Platform"), you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility

• Minimum Age: 13 years old
• Ages 13-17: Parental/guardian consent required. Can participate in FREE tournaments only (no paid entry, no cash prizes per Texas Penal Code §47.01). Cannot access wallet features, receive payouts, or submit tax information.
• Ages 18+: Eligible for all tournaments, prize competitions, and wallet features (with identity verification)

3. Account Registration & Security

You must provide accurate information. You are responsible for account security and all activities under your account.

Account Security Requirements

• Strong Password: Minimum 8 characters with mixed case, numbers, and symbols recommended
• Two-Factor Authentication (2FA): Strongly recommended for all accounts. Required for accessing wallet features and making withdrawals.
• Recovery Codes: Store your 2FA recovery codes securely. D1 Arena cannot recover accounts without proper verification.
• Immediate Reporting: Report unauthorized access immediately to support

Two-Factor Authentication (2FA)

D1 Arena offers TOTP-based two-factor authentication for enhanced account security:

• 2FA uses time-based one-time passwords (TOTP) compatible with Google Authenticator, Authy, and similar apps
• Once enabled, 2FA is required for all logins
• Recovery codes are provided during setup—store these securely offline
• 2FA is required to enable wallet features, request payouts, or access sensitive account settings
• Disabling 2FA requires verification of your identity

Discord Integration

D1 Arena offers optional Discord integration for enhanced notifications:

• You may link your Discord account to receive direct message notifications
• Notifications include tournament reminders, match times, team invites, and prize payouts
• By connecting Discord, you authorize D1 Arena to send you messages via Discord's API
• You can disconnect your Discord account at any time from your settings
• Abuse of Discord notifications (spam, harassment) will result in feature revocation

4. Identity Verification

To access certain features, identity verification is required:

When Verification is Required

• Enabling wallet/payout features
• Requesting withdrawals of any amount
• Receiving tournament prize payouts
• Accessing supporter subscription revenue
• Making changes to payout methods

Verification Process (via Stripe Connect Express)

Identity verification is handled securely through Stripe Connect Express:

• Secure Onboarding: You will be redirected to Stripe's hosted verification flow
• Government ID: Submit your driver's license, passport, or state-issued ID directly to Stripe
• Selfie Verification: Stripe verifies your photo matches your ID
• Tax Information: SSN/W-9 (U.S.) or Tax ID/W-8BEN (international) collected by Stripe
• Bank Account: Connect your bank account for direct payouts

Important: D1 Arena never receives or stores your identity documents, SSN, or bank account details. All sensitive information is handled exclusively by Stripe.

Verification Requirements

• All submitted documents must be valid and not expired
• Information must match your D1 Arena account details
• Fraudulent documents will result in permanent account termination
• Verification typically completes within minutes through Stripe's automated system
• You can check verification status anytime in your wallet settings

5. Tax Compliance Requirements

Tax compliance is handled automatically through Stripe Connect Express:

Automated Tax Compliance via Stripe

• SSN Collection: Stripe securely collects your SSN during onboarding - D1 Arena never sees or stores it
• W-9/W-8BEN Forms: Stripe collects and validates all required tax documentation electronically
• 1099-K Filing: Stripe automatically generates and files Form 1099-K with the IRS for qualifying payouts
• Year-End Tax Documents: Access your tax documents anytime through your Stripe Express Dashboard

IRS Reporting

• Stripe reports gross payments exceeding IRS thresholds via Form 1099-K
• You will receive a 1099-K from Stripe (not D1 Arena) if you meet the reporting threshold
• You are responsible for reporting income and paying applicable taxes

International Payouts

• Non-U.S. Persons: Stripe collects W-8BEN and required foreign tax information
• Stripe handles withholding requirements as mandated by IRS regulations

6. Wallet & PIN Security

Wallet PIN

• A 6-digit PIN is required to access wallet features
• PIN is required for viewing balance, transaction history, and initiating withdrawals
• After 5 failed PIN attempts, wallet access is temporarily locked
• PIN reset requires identity verification

Wallet Security

• Never share your wallet PIN with anyone
• D1 Arena staff will never ask for your PIN
• Enable 2FA for additional wallet protection
• Review transaction history regularly for unauthorized activity

7. Skill-Based Competition - Legal Compliance

D1 Arena operates in strict compliance with Texas Penal Code §47.01, which states:

"Bet does not include an offer of a prize, award, or compensation to the actual contestants in a bona fide contest for the determination of skill, speed, strength, or endurance."

Why D1 Arena is Skill-Based (NOT Gambling)

• No Random Outcomes: No dice, no card shuffles, no RNG determines winners
• Skill Determines Victory: Reaction time, strategy, game knowledge, teamwork
• Practice = Improvement: Unlike chance games, skill development improves results
• Fair Conditions: All participants compete on equal footing
• Measurable Performance: Winners determined by demonstrated ability

8. User Conduct

Prohibited behaviors:

• Harassment, threats, or defamation
• Obscene, offensive, or illegal content
• Unauthorized automated access
• Impersonation or identity fraud
• Cheating or fraudulent activities (results in permanent ban)
• Sharing accounts or security credentials
• Attempting to bypass 2FA or security measures
• Submitting fraudulent identity documents

9. Tournament Rules

• All participants must follow D1 Arena tournament rules
• Violations result in disqualification
• D1 Arena decisions on disputes are final
• Cheating detection may result in prize forfeiture and permanent ban
• Identity verification may be required before prize distribution

10. Membership Tiers & Fee Structure

D1 Arena offers three membership tiers. All fees comply with Texas law and are NOT derived from prize pools:

Starter (Free)

• Supporter Subscription Revenue: Keep 75% (25% platform fee)
• Tournament Entry Fee: 11.4% total (6% platform + 5.4% processing)
• Features: 3 community tournaments/month, 3 teams (10 members each), 15-day VOD storage

PRO ($14.99/month)

• Supporter Subscription Revenue: Keep 82% (18% platform fee)
• Tournament Entry Fee: 9.4% total (4% platform + 5.4% processing)
• Features: 15 community tournaments/month, 15 teams (25 members each), 90-day VOD storage, GIFs in chat, PRO badge

Ultimate ($29.99/month)

• Supporter Subscription Revenue: Keep 90% (10% platform fee)
• Tournament Entry Fee: 8.4% total (3% platform + 5.4% processing)
• Features: Unlimited community tournaments, unlimited teams (50 members each), 180-day VOD storage, ad-free viewing on all channels, ULTIMATE badge, priority tournament registration

Geographic Restrictions

Due to varying state laws regarding skill-based gaming competitions, paid tournament participation is not available to residents of the following states:

• Arizona (AZ)
• Arkansas (AR)
• Connecticut (CT)
• Delaware (DE)
• Louisiana (LA)
• Maryland (MD)
• Montana (MT)
• South Carolina (SC)
• South Dakota (SD)
• Tennessee (TN)

Residents of these states may still:

• Create and join FREE tournaments
• Watch live streams and VODs
• Subscribe to and tip streamers
• Use all other platform features

This restriction applies to paid tournament entry only and is based on state gaming regulations as of 2025. We regularly review these restrictions and will update them as laws change.

Payout/Withdrawal

• Primary Payout Method: Stripe Connect Express - payouts directly to your verified bank account
• Alternative Method: Stripe Connect only
• Withdrawal Fee: 2% + $1.00 processing fee for all prize payouts
• Minimum Withdrawal: $100
• Verification Required: Complete Stripe Connect onboarding before first withdrawal
• Tax Forms: Automatically collected by Stripe during onboarding

No portion of the prize pool is taken as profit. All fees support Platform operations only.

11. Tips (Voluntary Support)

D1 Arena allows viewers to send voluntary monetary tips to streamers and teams as a way to show appreciation and support.

How Tips Work

• Individual Streamer Tips: Send tips directly to a streamer during their live stream or on their profile page
• Team Tips: Send tips to a team - the amount is split equally among all team members who are currently live streaming
• If No Team Members Are Live: The tip goes to the team owner
• Tip Amounts: $1 to $500 per tip
• Optional Message: Include a message with your tip (up to 200 characters)
• Anonymous Option: Choose to hide your name from the tip notification

Tip Fee Structure

• Payment Processing Fee: 5.4% + $0.30 (covers Stripe fees)
• Platform Fee: Based on the recipient's membership tier:
  • Starter: 25% platform fee (streamer keeps 75%)
  • PRO: 18% platform fee (streamer keeps 82%)
  • Ultimate: 10% platform fee (streamer keeps 90%)

Example ($10 Tip to PRO Streamer)

• Tip Amount: $10.00
• Processing Fee (5.4% + $0.30): -$0.84
• Net Revenue: $9.16
• Platform Share (18%): -$1.65
• Streamer Receives: $7.51

Important Notes

• Tips are voluntary and non-refundable once processed
• Tips are credited immediately to the streamer's wallet
• Tips count toward the recipient's taxable income
• D1 Arena is not responsible for how streamers use tip funds
• Chargebacks or fraudulent tips may result in account suspension

12. Supporter Subscriptions

D1 Arena allows viewers to subscribe to their favorite streamers on a monthly recurring basis. Subscriptions provide ongoing support to creators and unlock exclusive benefits.

Subscription Tiers

• Tier 1 (Supporter): $4.99/month - Basic supporter badge, chat priority
• Tier 2 (Supporter+): $9.99/month - Enhanced badge, exclusive emotes
• Tier 3 (VIP Supporter): $24.99/month - VIP badge, all tier perks, priority support

Billing & Cancellation

• Billing Frequency: Monthly recurring charge on the same date each month
• Payment Methods: Credit/debit card via Stripe
• Cancellation: Cancel anytime from your account settings. Access continues until the end of your billing period
• Refunds: No refunds for partial months. You retain access until your subscription period ends

Revenue Split

Subscription revenue is shared between the streamer and the platform based on the streamer's membership tier:

• Starter Members: Streamer keeps 75% (25% platform fee)
• PRO Members: Streamer keeps 82% (18% platform fee)
• Ultimate Members: Streamer keeps 90% (10% platform fee)

Transaction Fees

A 5.4% + $0.30 payment processing fee is deducted from each transaction to cover Stripe fees. This is separate from the platform fee.

13. Ad Revenue Sharing (Partner Program)

D1 Arena follows the industry-standard ad revenue model, similar to YouTube and Twitch Partner programs.

Eligibility for Ad Revenue

• Starter Members: Ads display on your streams, but you receive $0 ad revenue (platform retains 100%)
• PRO Members: Ads display on your streams, but you receive $0 ad revenue (platform retains 100%)
• Ultimate Members (Partner Status): You receive 55% of ad revenue generated on your streams

How Ad Revenue Works

• Ads are served to viewers who are not Ultimate members or channel subscribers
• Ultimate members enjoy ad-free viewing when watching other channels
• Channel subscribers enjoy ad-free viewing on the subscribed channel only
• Ad revenue is calculated based on impressions and is credited to your wallet
• The 55% creator share matches YouTube industry standard

Ad Revenue vs. Subscription Revenue

These are separate revenue streams:

• Subscription/Tip Revenue: ALL membership tiers earn from supporter subscriptions and tips (75%/82%/90% based on tier)
• Ad Revenue: ONLY Ultimate members earn from ads (55% - Partner status required)

Important: To earn ad revenue, you must upgrade to Ultimate membership ($29.99/month) which grants Partner status. Starter and PRO members can still earn through supporter subscriptions, tips, and tournament prizes.

14. Intellectual Property

All Platform content is property of D1 Arena or licensors. Reproduction without permission is prohibited.

15. Privacy & Data Security

See our Privacy Policy for details on how we protect your personal information, identity documents, tax information, and 2FA data.

16. Disclaimers

Platform provided "as is" without warranties. We do not guarantee uninterrupted service.

17. Limitation of Liability

D1 Arena is not liable for indirect, incidental, special, consequential, or punitive damages from Platform use, including but not limited to losses from unauthorized account access where security recommendations (2FA, strong passwords) were not followed.

18. Account Termination

D1 Arena may suspend or terminate accounts for:

• Violation of these Terms
• Fraudulent identity verification attempts
• Tax compliance violations
• Suspicious financial activity
• Repeated security violations

19. Modifications

Terms may be updated. Continued use constitutes acceptance of new Terms. Material changes affecting identity verification, tax compliance, or security requirements will be communicated via email.

19. Governing Law

These Terms are governed by Texas law. Disputes shall be resolved in Texas courts.

20. Live Streaming & Chat Features

D1 Arena provides live streaming capabilities with integrated chat and community features.

Chat Commands & Moderation

• Stream Owner Commands: Streamers can use commands like !mod, !vip, !ban, !timeout, !filter, !links, !raid, !host, !poll, and !predict to manage their streams
• Moderator Commands: Appointed moderators can use moderation commands as delegated by the stream owner
• Chat Filters: Streamers may enable profanity filters, link blocking, caps filtering, and custom banned word lists
• Enforcement: Violations of chat rules may result in timeout, ban, or account suspension

Channel Points System

• Channel Points are earned by watching streams, chatting, and following streamers
• Points can be redeemed for channel rewards set by the streamer
• Channel Points have no monetary value and cannot be exchanged for cash
• Points may expire or be reset at D1 Arena discretion
• Abuse of the Channel Points system (botting, farming) will result in point removal and potential account suspension

Raid & Host Features

• Raids: Streamers can redirect their viewers to another live channel using !raid [username]
• Hosting: Streamers can feature another channel on their page using !host [username]
• Raid/Host targets must be live (for raids) or have a valid channel
• Malicious or harassing raids are prohibited and will result in account action

Predictions & Polls

• Streamers can create predictions and polls for viewer engagement
• Prediction bets use Channel Points only (not real money)
• Prediction outcomes are determined solely by the stream owner
• Manipulation of predictions for unfair gain is prohibited

Custom Emotes & Panels

• Streamers may upload custom emotes for their subscribers to use
• Emotes must not contain copyrighted, trademarked, or inappropriate content
• D1 Arena reserves the right to remove emotes that violate our guidelines
• Channel Panels allow streamers to customize their profile with images, text, and links

Stream Schedule

• Streamers can set and display their streaming schedule
• Schedules are for informational purposes and do not create binding commitments

21. Artificial Intelligence (AI) Features

D1 Arena uses AI-powered features to enhance the platform experience. AI feature availability and usage limits vary by membership tier.

AI-Powered Features

• AI Clip Titles & Descriptions: Automatically generates engaging titles and descriptions for clips based on visual analysis of gameplay footage
• AI Game Detection: Identifies the game being played from live stream visuals to automatically set stream category
• AI Support Chatbot: Provides instant help and FAQ answers (available to all tiers at no additional cost)
• AI Chat Moderation: Assists with chat rule enforcement and toxicity detection (available to all tiers at no additional cost)
• AI Bracket Predictions: Tournament outcome predictions based on player statistics (Ultimate tier only)
• AI Visual Analysis: Analyzes gameplay frames to understand clip content and context

AI Usage Limits by Tier

• Starter (Free): AI chat moderation and support chatbot only. No AI content generation features.
• PRO ($14.99/month): 10 AI clip titles/day, 5 visual analyses/day, 3 game detections/day, 2 player insights/day, 5 tournament AI/day, 3 team AI/day, 5 stream tools/day
• Ultimate ($29.99/month): Unlimited AI features including bracket predictions

AI Data Processing

• AI processing uses third-party services (xAI/Grok API) for analysis
• Only content data (stream frames, clip footage, text) is sent for processing - no personal information
• AI-generated content is marked as such in metadata
• Users may edit or replace any AI-generated content at any time

AI Learning & Improvement

• User corrections to AI-generated titles are used to improve future AI outputs
• Engagement metrics help optimize AI suggestions
• You can opt out of AI features by not using them - AI features are always optional
